Terms of Service

The agreement between you and BalanceNow. BalanceNow prepares work for a person to check — it is not an accountant, and it does not make accounting decisions on your behalf.

Effective date: 1 January 2026

These terms are an agreement between you and FOKUS AI EDUCATION SDN. BHD. (Company No. 202501026556 (1627968-M)) of No. 22-3, Jalan Radin Bagus 7, Bandar Sri Petaling, 57000 Kuala Lumpur, Malaysia (“BalanceNow”, “we”, “us”).

By creating an account or using BalanceNow, you agree to them. If you are agreeing on behalf of a business, you confirm you are authorised to bind that business, and “you” means that business.

1. What BalanceNow does

BalanceNow reads business documents you provide, proposes accounting entries from them, and — only after a person approves each entry — delivers those entries to an accounting system you have connected.

It is a tool that prepares work for a person to check. It is not an accountant, and it does not make accounting decisions on your behalf.

2. Your account

  • Give accurate registration information and keep it current.
  • You are responsible for everything done under your account, and for keeping your credentials secure. Tell us promptly if you believe your account has been compromised.
  • You are responsible for the users you invite into your organisation and for the access you give them.

3. Connecting your accounting system

  • You may connect an accounting system only if you are authorised to do so — either because it is your business’s system, or because your client has authorised you to act for them.
  • If you connect a client’s accounting system, you confirm you have their permission, both to connect it and to allow us to process the data in it as described in our Privacy Policy.
  • You may disconnect at any time.
  • Connected systems belong to their providers. We are not responsible for their availability, behaviour, pricing, or changes they make to their interfaces.

4. Your data

  • Your data stays yours. We claim no ownership of your documents, your accounting records, or the entries produced from them.
  • You grant us the limited permission needed to host, process and transmit that data in order to provide the service.
  • You are responsible for having the right to give us the data you upload.
  • Our handling of it is governed by our Privacy Policy.

5. Fees

Fees, billing period and payment terms are those stated in the plan or order you sign up for. Unless stated otherwise: fees are payable in advance, are exclusive of applicable taxes, and are non-refundable except where the law requires otherwise. We may change fees with reasonable prior notice, effective from your next billing period.

6. Acceptable use

You must not:

  • use BalanceNow to break the law, or to create false or misleading accounting records;
  • upload documents you have no right to;
  • attempt to access another organisation’s data, or to circumvent our security or access controls;
  • reverse engineer, copy or resell the service, or use it to build a competing product;
  • overload or interfere with the service, or use automated means to extract data from it beyond the interfaces we provide.

7. Artificial intelligence, and your duty to check

BalanceNow uses artificial intelligence to read documents and propose classifications.

AI output can be wrong. Every proposal is a draft for a person to review. By using BalanceNow you accept that:

  • you are responsible for reviewing and approving every entry before it is delivered to your accounting system;
  • approval within BalanceNow is an accounting act performed by you, not by us;
  • we do not warrant that any extraction, classification or proposal is accurate or suitable for your circumstances.

8. Availability

We aim to keep the service available and to give reasonable notice of planned maintenance, but we do not guarantee uninterrupted availability. The service may be affected by things outside our control, including the availability of accounting systems you connect.

9. Not professional advice

BalanceNow does not provide accounting, tax, audit, legal or financial advice. Nothing the service produces is a professional opinion, and nothing in it removes your obligation to keep proper books and records or to comply with Malaysian tax and accounting requirements. Where those obligations matter, consult a qualified professional.

10. Limitation of liability

To the maximum extent permitted by law:

  • the service is provided “as is”, without warranties beyond those that cannot be excluded by law;
  • we are not liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill, data or anticipated savings;
  • our total liability arising out of or relating to these terms is limited to the fees you paid us in the twelve (12) months before the event giving rise to the claim.

Nothing here limits liability that cannot be limited by Malaysian law.

11. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from your breach of these terms, from data you provided that you had no right to provide, or from your connection of an accounting system you were not authorised to connect.

12. Suspension and termination

  • You may stop using the service and close your account at any time.
  • Either party may terminate on thirty (30) days’ written notice.
  • We may suspend or terminate immediately if you materially breach these terms, if your use threatens the security or integrity of the service, or if required by law.
  • On termination: your access ends, and your data is handled under the retention terms of our Privacy Policy. Entries already delivered to your accounting system remain in your accounting system — they are your records.
  • Before terminating, export anything you need.

13. Changes to these terms

We may update these terms. Material changes will be notified through the service or by email before they take effect. Continuing to use BalanceNow after they take effect means you accept them.

14. Governing law

These terms are governed by the laws of Malaysia, and the courts of Malaysia have exclusive jurisdiction over any dispute. Before starting proceedings, both parties will try in good faith to resolve the dispute by discussion.

15. General

  • If any provision is unenforceable, the rest continues in force.
  • Our failure to enforce a provision is not a waiver of it.
  • You may not assign these terms without our consent; we may assign them to a successor of our business.
  • These terms, together with the Privacy Policy and any order you sign up for, are the whole agreement between us.
